General Oligo, Inc. — Nucleic Acid Biomaterial Configurator
These Terms and Conditions of Sale (“Terms”) constitute the entire agreement between General Oligo, Inc. (“General Oligo,” “we,” or “us”) and the customer placing an order (“Customer” or “you”) for the custom nucleic acid biomaterials and related products described at the time of order (collectively, “Products”).
By submitting an order through the General Oligo Configurator or otherwise purchasing Products from General Oligo, Customer agrees to be bound by these Terms. General Oligo reserves the right to update these Terms at any time. The Terms in effect at the time of order acceptance govern that transaction.
These Terms may only be modified by a written agreement signed by both Customer and an authorized representative of General Oligo. General Oligo reserves the right to refuse or cancel any order at its sole discretion.
All matters arising out of or relating to these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
All prices displayed in the Configurator are estimates based on the configuration selected at the time of quote generation. General Oligo reserves the right to adjust pricing prior to order confirmation based on raw material costs, synthesis complexity, scale requirements, or other factors.
Prices do not include applicable sales, use, excise, or other taxes. Any applicable Massachusetts sales tax will be calculated and added at the time of invoicing where required by law.
All prices are quoted in United States Dollars (USD). General Oligo currently accepts orders from customers located within the United States only.
General Oligo accepts payment by major credit card only. Payment is due in full at the time of order placement. Orders will not be released to synthesis until payment has been received and confirmed.
General Oligo uses a secure third-party payment processor. We do not store credit card information on our servers. By providing payment information, Customer authorizes General Oligo to charge the full order amount to the provided payment method.
An order is not accepted until Customer receives written confirmation from General Oligo. Submission of an order through the Configurator constitutes an offer to purchase and does not guarantee fulfillment. General Oligo reserves the right to decline any order for any reason, including but not limited to synthesis feasibility, biosecurity screening outcomes, or supply constraints.
Due to the custom nature of our Products, all sales are final. Orders may not be cancelled, modified, or transferred after synthesis has commenced. If synthesis has not yet commenced, cancellation requests may be submitted to info@generaloligo.com and will be assessed at General Oligo’s discretion. Cancellation fees may apply.
General Oligo will ship Products to the address provided by Customer at the time of order. Shipping fees are calculated at checkout and billed to Customer. Estimated turnaround times provided at the time of order are estimates only and are not binding on General Oligo. Delays shall not relieve Customer of the obligation to pay the full invoiced price.
Title and risk of loss for Products pass to Customer upon delivery to the carrier at General Oligo’s facility.
Customer shall inspect Products promptly upon receipt. Any claim of nonconformity must be submitted in writing to info@generaloligo.com within 5 business days of receipt, describing the nonconformity in detail. Failure to provide timely written notice constitutes acceptance of the Products as delivered.
General Oligo does not accept returns. All Products are manufactured to Customer specification and cannot be restocked or resold. In the event of a confirmed manufacturing defect, General Oligo’s sole obligation shall be, at its option, to re-synthesize the nonconforming Product or issue a credit toward a future order.
General Oligo warrants that Products will materially conform to the specifications for identity, purity, and yield as indicated in the applicable Certificate of Analysis provided at delivery, when stored and handled under the recommended conditions (“Specifications”).
General Oligo’s limited warranty is contingent upon Customer providing complete and accurate sequence and specification information at the time of order. General Oligo cannot guarantee that all customer-supplied sequences will be synthesizable at the requested scale or purity, or that the Products will produce desired experimental results.
IN NO EVENT SHALL GENERAL OLIGO BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE PRODUCTS, EVEN IF GENERAL OLIGO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES WITHOUT LIMITATION LOSS OF DATA, LOSS OF PROFITS, LOSS OF RESEARCH RESULTS, OR BUSINESS INTERRUPTION.
IN NO EVENT SHALL GENERAL OLIGO’S TOTAL LIABILITY TO CUSTOMER FOR ANY CLAIM ARISING OUT OF OR RELATED TO A PRODUCT EXCEED THE AMOUNT PAID BY CUSTOMER FOR THAT PRODUCT.
All Products sold by General Oligo are intended for research use only unless explicitly labeled otherwise. Products have not been tested or validated for clinical, diagnostic, or therapeutic applications and are not approved for use in humans or animals.
Customer agrees not to:
General Oligo treats all Customer-submitted sequence information as confidential. This includes oligonucleotide sequences, their complements, gene targets, modification specifications, scale and purity requests, and any associated scientific data submitted as part of an order.
General Oligo will not disclose Customer sequence information to any third party except as required by law, or as necessary to fulfill the order (e.g., internal synthesis personnel). Customer sequence data will not be used for General Oligo’s internal research or shared for commercial purposes.
Customer agrees to indemnify, defend, and hold harmless General Oligo, its officers, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to:
General Oligo screens all custom sequence orders to identify potentially regulated or dangerous pathogen sequences and to verify that orders are consistent with legitimate scientific research. General Oligo reserves the right to refuse or cancel any order at any time based on the results of biosecurity screening, without liability to Customer.
Customer represents and warrants that all use of General Oligo Products will be conducted in compliance with all applicable federal, state, and local laws and regulations, including applicable laboratory safety, environmental, and export control regulations.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or any order shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and both parties hereby consent to such jurisdiction.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. General Oligo’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
These Terms, together with the order confirmation and any applicable Certificate of Analysis, constitute the entire agreement between the parties with respect to the Products and supersede all prior negotiations, representations, or agreements.
